On December 24, 2024, Goat Holdco, LLC, which together with its subsidiaries operates under the name Barnes (the “Company”), issued $750 million aggregate principal amount of 6.75% Senior Secured Notes due 2032 (the “Notes”) in a transaction not subject to the registration requirements of the Securities Act of 1933, as amended. The Company will make annual, quarterly and interim reports available in accordance with the terms of the indenture governing the Notes. The reports will be made available only to holders of the Notes, prospective investors of the Notes and market makers affiliated with any initial purchaser of the Notes and, subject to the Company’s consent, securities analysts that, in each case, have returned an executed “Request for Information and Confidentially Agreement” (“Request Form”). Any person requesting access to such reports is required to (i) keep confidential and not disclose or reveal such reports (and the information contained therein) and (ii) not use such reports and the information contained therein for any purpose other than their evaluation of their investment in the Notes.
Conference Call
The Company will host a quarterly teleconference call for holders of the Notes, prospective investors of the Notes and market makers affiliated with any initial purchaser of the Notes within 10 business days after the quarterly and annual reports are posted to the Company’s secure web site in accordance with the terms of the indenture governing the Notes (commencing with the quarterly report for the fiscal quarter ending March 31, 2025). Prior to the quarterly call, the Company will announce the date and time of the call on the Company’s secure web site, which will contain details on how to access the call.
