Governance
Comprised of twelve individuals, eleven of whom are independent, our Board of Directors is our highest governing body. The Board actively engages in risk management oversight, succession planning, and corporate governance matters. Our Board is ethnically and racially diverse, and 25% of our directors are women.

Integrity Across the Board
Barnes, a publicly held company trading on the New York Stock Exchange, maintains a comprehensive set of policies and procedures to enable effective corporate governance. ESG is managed by an ESG Steering Committee, which consists of members of the Senior Leadership Team with the full support of the Barnes Board of Directors. Our Board of Directors exercises oversight of risk management, and with regard to ESG, in particular, the Board exercises governance over ESG through three of its key standing committees – Audit, Compensation and Governance.

Health, Safety & Environmental Affairs
In order to focus on innovation, our employees must have a safe workplace. In order to be a leader of tomorrow, we must act to keep our environment resilient.

Standards of Care
Barnes has developed robust Health, Safety and Environmental standards. We hold all of our divisions to those standards, in addition to complying with all applicable laws and environmental regulations. We closely monitor and report on our management of all materials that may be harmful to the environment if not handled properly.
